The Opportunity


We are seeking an experienced Assistant Company Secretary to join a high-performing Group Secretariat team within a FTSE 100-listed international organisation. This role will provide maternity cover for a period of up to 12 months and offers an excellent opportunity to work within a sophisticated listed company environment, supporting a large and complex portfolio of UK and overseas entities.


The successful candidate will play a key role in delivering first-class corporate governance and company secretarial support across the Group, with a particular emphasis on subsidiary governance, statutory compliance and supporting the governance framework of a global listed business.


This position would suit a proactive and technically strong company secretarial professional who has experience operating within a FTSE 100, FTSE 250 or other listed company environment and is looking to further develop their expertise in corporate governance and international subsidiary management.

Key Responsibilities


Subsidiary Governance & Entity Management

  • Lead the delivery of company secretarial services across a large portfolio of UK and international subsidiary entities.
  • Ensure compliance with all statutory and regulatory requirements across the Group's subsidiary structure.
  • Maintain and manage statutory records, registers and governance documentation using company secretarial software (Diligent Entities or similar).
  • Organise subsidiary board meetings, prepare agendas, board papers and minutes, and manage governance actions through to completion.
  • Support the ongoing enhancement of subsidiary governance frameworks, policies and procedures across the Group.
  • Ensure all corporate records are maintained accurately and in accordance with legal and governance requirements.
  • Manage annual compliance activities, including confirmation statements, director appointments and resignations, share allotments and other corporate filings.

FTSE Listed Company Governance

  • Support the governance requirements of a UK-listedplc, ensuring compliance with:
    • Companies Act 2006
    • UK Listing Rules
    • Disclosure Guidance and Transparency Rules
    • Market Abuse Regulation
    • UK Corporate Governance Code
  • Provide assistance with Board and Committee governance activities where required.
  • Support the maintenance of insider lists and other governance-related compliance records.
  • Assist with the preparation and delivery of the Annual General Meeting and other shareholder meetings.

Corporate Transactions & Projects

  • Support strategic corporate activity, including:
    • Acquisitions
    • Disposals
    • Group restructurings
    • Legal entity rationalisations
    • Corporate simplification initiatives
  • Work closely with Legal, Tax and Finance teams to implement governance requirements arising from corporate transactions.
  • Assist with updating and maintaining the Group Structure Chart and legal entity database.

Essential Experience

  • CGI (ICSA) qualified or part-qualified.
  • Proven company secretarial experience within a FTSE 100, FTSE 250 or listed company environment.
  • Strong experience managing subsidiary governance for large and complex UK and international group structures.
  • Experience supporting listed company governance obligations.
  • Strong working knowledge of:
    • Companies Act 2006
    • UK Listing Rules
    • Disclosure Guidance and Transparency Rules
    • Market Abuse Regulation
    • UK Corporate Governance Code
  • Experience managing statutory compliance and Companies House filings.
  • Experience preparing subsidiary board minutes and governance documentation.
  • Knowledge of corporate transactions, including acquisitions, disposals and reorganisations.

Desirable Experience

  • Experience supporting a FTSE 100 Board and Committee structure.
  • Exposure to international entity management across EMEA, APAC and North America.
  • Experience using Diligent Entities or similar governance platforms.
  • Experience supporting AGM processes and shareholder communications.
  • Knowledge of Irish and other overseas company law requirements.
