My client,a large Insurance Company, is looking for an Assistant Company Secretarial plays a central role in the governance and administration of the companies in multiple jurisdictions as well as for other companies within the wider Insurance Group. My client partner with the business and executive committees and Boards to ensure standards of corporate governance are adhered to in an effective, pragmatic, efficient and timely manner. Working closely with the Company Secretary, you will be a key member of the team working on the delivery of effective corporate governance for regulated and non-regulated entities within the client, in line with legal and regulatory requirements and internal policies.

Key Responsibilities

  • Providing company secretarial support, advice and guidance for a range of regulated insurance carriers and intermediaries, their Committees and non-regulated companies in the UK, Luxembourg and other jurisdictions, as required.
  • End to end management of meeting process, including preparing agendas; collating, and distributing meeting packs, attending and minuting meetings & following up with actions.
  • Administering governance framework
  • Reporting to and liaising with their shareholder entities and personnel as required, and seeking to improve efficiency's in this respect where possible.
  • Ensuring compliance with relevant statutory and regulatory requirements and requirements of good governance, including ensuring that the relevant corporate registrar and regulatory filings are made within the applicable time limits.
  • Engaging, partnering with and advising the business on matters relating to corporate governance, including
  • corporate transactions.
